Joint Ventures, in this specific context, refer to a registered legal entity cooperation between at least one foreign investor and Chinese investor. مشاريع مشتركة ، محددة في هذا السياق ، أشير الى سجل التعاون بين كيان قانوني واحد على الأقل للمستثمر الأجنبي والمستثمر الصينية. Whereas Equity Joint Ventures require that the joint venture partners share in distribution of profits based on their proportionate contribution to registered capital, Cooperative Joint Ventures allow for distribution and sharing in losses based on the contractual terms of cooperation rather than on monetary/asset contributions. في حين ان المشاريع المشتركة تتطلب الانصاف ان الشركاء في المشروع المشترك في توزيع حصة من الأرباح على اساس يتناسب مع مساهمه رأس المال المسجل ، والتعاونيه والمشاريع المشتركة والسماح للتوزيع في تقاسم الخسائر على اساس الشروط التعاقديه للتعاون بدلا من التركيز على النقد / الاصول الاشتراكات.

Equity Joint Ventures are governed by the Law of the PRC on Equity Joint Ventures, and relevant implementing regulations. الانصاف والمشاريع المشتركة هي تخضع لقانون جمهورية الصين الشعبية على الانصاف والمشاريع المشتركة ، وتنفيذ الانظمه ذات الصلة.

Some advantages of Joint Ventures include: بعض المزايا للمشاريع مشتركة تشمل ما يلي :
- Only option, as industry is Restricted -- الخيار الوحيد ، لأن الصناعة تقييد
- Guanxi (connections) -- Guanxi (وصلات)
- Quick establishment/contribution of existing facilities -- السريع وانشاء ومساهمه من المرافق القائمة
- Local expertise -- الخبرات المحلية

Some disadvantages include: بعض المساوئ ما يلي :
- Inflexibility -- عدم المرونة
- Difficulties in expanding investment (partners have pre-emptive right to purchase newly issued capital and transferred shares to third parties) -- صعوبات في التوسع والاستثمار (الشركاء الاستباقيه الحق في شراء الصادرة حديثا اسهم رأس المال ونقل الى أطراف ثالثة)
- Differing business plans -- اختلاف خطط الاعمال

Establishment أنشاء

Establishment of a Joint Venture is very much similar to that of a WFOE, with the addition of one key document, the Joint Venture Contract. انشاء مشروع مشترك الى حد كبير مشابهة لتلك التي wfoe احد ، مع اضافة وثيقة اساسية واحدة ، عقد المشروع المشترك.
