Starting from 1 December 2004, a new investment vehicle has been available to foreign investor – Chinese government allow and encourage foreign investor to set up “Foreign Investment Commercial Enterprise”(FICE) in China to conduct wholesale, retail, and other permitted businesses. 從2004年12月1日，一個新的投資工具，已提供給外來投資者-中國政府允許和鼓勵外國投資者設立“外商投資商業企業” （ f ice） 在中國進行批發，零售，以及其他獲准的業務。 Such a type of business entity possess of the total right of trade and business. 這種類型的商業實體擁有的總的權利，貿易和商業。 It can conduct import/export activities by itself, independent of the local import and export company or setting up a manufacturing company. 它可以進行進口/出口活動本身，獨立於當地的進口和出口的公司或成立一個製造公司。

Investor 投資者
The foreign investor may be a foreign company, enterprise, other economic organization, or a natural person.外國投資者可能是一家外國公司，企業，其他經濟組織，或一個自然人。

(1) For a company/enterprise, the Certificate of Incorporation, Bank Reference Letter, and Audit Report in the recent one year are required. （ 1 ）為公司/企業，公司註冊證明書，銀行參考的信，和審計報告，在最近的一年是必需的。

Capital Contribution 資本貢獻
FICE’s minimum registered capital shall conform to relevant provisions of the Company Law. fice的最低註冊資本應符合有關規定，該公司的法律。 The registered capital shall be matched with the actual business activities.註冊資本應當符合實際的商業活動。 The amount of the initial capital contribution shall not be less than 15% of the registered capital, nor less than the statutory minimum amount of registered capital.數額的初始資本的貢獻，不得少於15 ％的註冊資本，也不低於法定的最低數額的註冊資本。

Business Scope業務範圍

According to “Administrative Measures on Foreign Investment in Commercial Fields”, an FICE can undertake the following business activities:根據“行政措施，對外商投資商業領域” ，一fice可以進行下列業務活動：

• Wholesaling: Selling goods and providing relevant auxiliary services to retailers, to industrial, commercial and institutional users, and to other wholesalers; •批發：出售商品和提供相關的輔助服務，以零售商，工業，商業和機構用戶，以及其他批發商;

For FICE engaged in wholesale business, Commodity import and export is to be allowed.為fice ，從事批發業務，商品進口和出口是不允許的。

For FICE engaged in retail business, import of commodities for self-marketing and purchase of domestically made products for export are to be allowed.為fice ，從事零售業務，進口商品的自我推銷和購買國產產品出口，是不能允許的。

• Commission Agency: sales agents, brokers, auctioneers or other wholesalers selling other’s goods and providing relevant auxiliary services based on the contract for gaining commission fee; •佣金代理：銷售代理，經紀，拍賣或其他批發商售賣其他的貨物和提供相關輔助服務的基礎上的合同獲得委員會的費用;

• Franchising: Authorizing others to use one’s own trademark, trade name business model, etc. by signing a contract de name, or business method, in exchange for remuneration or franchising fees. •特許經營：授權他人使用一個自己的商標，商標名稱的商業模式，等簽署了一項合同，德的名字，或業務的方法，以換取報酬或特許經營費。

Reservation and application of Name 保留和應用的名稱
Prior to any of the following applications, the investor(s) should reserve a name for its prospective FICE with Shanghai Administration of Industry and Commerce (SAIC).之前，下列任何一種申請，投資者（ ）應預留的名稱，其準fice與上海市工商行政管理局和商業（上汽集團） 。 SAIC requires that a proposed name and three other names be provided.上汽集團規定，擬議的姓名和其他三個名稱提供。

Choosing a business name 選擇一個公司名稱
The Chinese name should be formatted as follows:中文名稱的格式應為如下：
• First word - company name; •第一個字-公司名稱;
• Second word – activity; •第二個字-活動;

If engaged in retail business, using Chinese words “商贸” ( read as “shang mao”, mean “business and trade” );如果從事零售業務的，使用中文的話“商貿” （讀為“尚毛澤東” ，是指“商業和貿易” ） ;
If engaged in wholesale business, using Chinese words “贸易” ( read as “mao yi”, mean “trade” )如果從事批發，商業，使用中文的話： “貿易” （讀為“毛一” ，是指“貿易” ）

• Third word - Shanghai; •第三個字-上海;
• Fourth word - company structure •第四個字-公司結構
The use of ‘China’ ‘Sino’ and ‘International’ are not permitted in the Chinese name unless very special permission is given, although they are permitted in the non-Chinese name.使用'中國' ， '中'和'國際'不得在中文名稱，除非非常特殊的許可，給出了，雖然他們被允許在非中文名稱。

Registration of Approval Certificate 登記批准證書
After the completion of Name Approval Notification, Approval letter and Approval Certificate are the next to be registered.完成後的名稱核准通知，核准函及批准證書，是明年必須註冊。

(1) For FICE intending to conduct retail business, the approval from “Shanghai Economic Committee” is required. （ 1 ）為fice有意進行零售業務，批准由“上海經濟委員會”是必要的。 The Articles of Association, Feasibility Study Report, Lease Agreement of the proposed store, etc. should be submitted at the time of application.章程，可行性研究報告，租賃協議所建議的商店等，應提交在時間的應用。 Without retail business, registration procedure starts from item (2).沒有零售業務，登記程序，從項目（ 2 ） 。

Registration of Business License 登記營業執照
Within 30 days after obtaining the approval certificate, the foreign investor will need to register and apply for a business license for the FICE from the municipal SAIC.後30天內獲得批准證書，外國投資者將需要註冊和申請營業執照，為fice從市工商局。 As part of this step, the foreign investor should submit similar documentation to the authority for approval and filing.作為這項工作的一部分的一步，外國投資者應提交類似文件管理局核准和備案。

For establishing a store為建立一個商店

Already existent foreign invested commercial enterprises applying to establish a store shall meet the following conditions:已經存在的外商投資商業企業申請建立一個商店應符合下列條件：

1. 1 。 Meet relevant regulations on urban development and urban commercial development.符合有關規定，對城市發展及城市商業發展。

Time and governmental charges時間和政府收費

The whole process time shall be within 60 working days if all supporting documents and additional information are provided.整個過程的時間應在60個工作日，如果所有的支持文件和其他信息提供。

The total government charges for establishment of an FICE are estimated to be between USD 1,500 and USD 2,000.政府總費用為建立一個fice估計為1500美元之間的美元和2000年。
