Starting from 1 December 2004, a new investment vehicle has been available to foreign investor – Chinese government allow and encourage foreign investor to set up “Foreign Investment Commercial Enterprise”(FICE) in China to conduct wholesale, retail, and other permitted businesses. ابتداء من 1 كانون الاول / ديسمبر 2004 ، استثمار جديد مركبة تم المتاحة للمستثمر الاجنبي -- الحكومة الصينية وإباحة وتشجيع المستثمر الاجنبي لاقامة "الاستثمار الاجنبي والشركات التجارية" (fice) في الصين لاجراء الجمله وتجارة التجزءه ، وغيرها من الاعمال المسموح بها. Such a type of business entity possess of the total right of trade and business. مثل هذا النوع من الاعمال التجارية الكيان من مجموع تملك الحق في التجارة والاعمال التجارية. It can conduct import/export activities by itself, independent of the local import and export company or setting up a manufacturing company. ويمكن اجراء استيراد / تصدير الانشطه التي تقوم بها في حد ذاته ، بمعزل عن المحلية والاستيراد والتصدير الشركة او اقامة شركة الصناعات التحويليه.

Furthermore, from 1 March 2006, the law permits FICE to apply and obtain approval documents from the local municipal Foreign Economic Relation and Trade Commission, instead of from Ministry of Commerce in Beijing. وعلاوة على ذلك ، في الفترة من 1 آذار / مارس 2006 ، يتيح القانون للfice على تطبيق والحصول على وثائق التصديق عليها من البلدية المحلية فيما يتعلق الاقتصادية الخارجية والتجارة لجنة ، بدلا من وزارة التجارة فى بكين.

The FICE is able to implement strategies that effectively conform to the interests of the parent company abroad. وقد fice قادرة على تنفيذ استراتيجيات بصورة فعالة تتفق مع مصالح الشركة الأم في الخارج. To carry on different trading business, it must have the required permits and certificates. لتنفيذ مختلف الاعمال التجارية ، يجب ان يكون لها التراخيص اللازمة والشهادات.

To establish an FICE in Shanghai, the foreign investor is instructed to submit the required incorporation documents to various authorities for registration. انشاء fice في شنغهاي ، فان المستثمر الاجنبي تعليمات لتقديم الوثائق اللازمة لادماج مختلف السلطات للتسجيل. It’s advisable for the investor to entrust an authorized consulting body or agency to do the tedious submission and application processes. انه من المستصوب للمستثمر ان تعهد الى مأذون استشارة هيئة أو وكالة لتقديم تفعل ممله وتطبيق العمليات. Investor المستثمر
The foreign investor may be a foreign company, enterprise, other economic organization, or a natural person. المستثمر الأجنبي قد يكون شركة اجنبية ، والمؤسسات ، والاقتصادية الاخرى في المنظمه ، او شخص طبيعي.

(1) For a company/enterprise, the Certificate of Incorporation, Bank Reference Letter, and Audit Report in the recent one year are required. (1) لشركة / مؤسسة ، شهادة التأسيس ، بنك اشارة الرسالة ، وتقرير مراجعة الحسابات في سنة واحدة هي الاخيرة.

(2) For a natural person, the Identity Certificate and Bank Reference Letter are required. (2) لشخص طبيعي ، هوية وشهادة البنك الاشارة الرسالة المطلوبة.

• the Certificate of Incorporation/Identity Certificate—-certified by the notary organ and the Chinese Embassy in your country • شهادة التأسيس / شهادة تحديد الهوية -- مصدق لدى كاتب العدل ، والجهاز السفارة الصينية في بلدكم

• the Bank Reference Letter—- issued by the bank in which foreign investor has a working or trading account and signed by an authorized bank officer • البنك الاشارة الرسالة -- التي اصدرها مصرف في المستثمر الاجنبي الذي لديه عمل أو الحساب التجاري وموقعة من احد موظفي المصرف المختص

Capital Contribution مساهمه رأس المال
FICE’s minimum registered capital shall conform to relevant provisions of the Company Law. Fice الادنى لرأس المال المسجل لمطابقه للاحكام ذات الصلة من قانون الشركات. The registered capital shall be matched with the actual business activities. رأس المال المسجل يجب ان تقابلها الفعليه لانشطه الاعمال التجارية. The amount of the initial capital contribution shall not be less than 15% of the registered capital, nor less than the statutory minimum amount of registered capital. مبلغ رأس المال الأولي مساهمه لا تقل عن 15 ٪ من رأس المال المسجل ، ولا يقل عن الحد الادنى للمبلغ رأس المال المسجل.

The investor is allowed to contribute registered capital in cash, in kind, or technology/intellectual property right, or other non-monetary properties that may be assessed on the basis of currency. المستثمر يسمح للمساهمه في رأس المال المسجل النقدية ، والعينيه ، أو التكنولوجيا / حقوق الملكيه الفكريه ، او غيرها من الممتلكات غير النقدية التي يمكن تقييمها على أساس العملة. The amount of the capital contribution in cash shall be no less than 30% of the registered capital. المبلغ للمساهمه في رأس المال النقدي يكون ما لا يقل عن 30 ٪ من رأس المال المسجل.

Business Scope نطاق الاعمال التجارية

According to “Administrative Measures on Foreign Investment in Commercial Fields”, an FICE can undertake the following business activities: ووفقا ل"التدابير الاداريه على الاستثمار الاجنبي في المجالات التجارية" ، وهي يمكن ان تضطلع fice الانشطه التجارية التالية :

• Wholesaling: Selling goods and providing relevant auxiliary services to retailers, to industrial, commercial and institutional users, and to other wholesalers; • البيع بالجمله : بيع السلع وتقديم الخدمات ذات الصلة لمساعدة تجار التجزءه ، الصناعية والتجارية والمءسسيه والمستخدمين ، والى غيرها من تجار الجمله ؛

For FICE engaged in wholesale business, Commodity import and export is to be allowed. Fice لتشارك في الاعمال التجارية بالجمله ، واستيراد وتصدير السلع هو الذي يسمح به.

• Retailing: Selling goods and providing auxiliary services for individual or collective consumption at a fixed location or via television, telephone, mail order, internet or vending machines; • البيع بالتجزءه : بيع السلع وتقديم الخدمات المساعدة للاستهلاك الفردى أو الجماعى فى موقع ثابت أو عن طريق التلفزيون والهاتف والبريد الالكتروني من اجل ، او آلات البيع على الانترنت ؛

For FICE engaged in retail business, import of commodities for self-marketing and purchase of domestically made products for export are to be allowed. Fice لتشارك في اعمال التجزءه ، لاستيراد السلع الأساسية الذاتي والتسويق وشراء المنتجات المصنوعه محليا لأغراض التصدير لتكون هي مسموح بها.

• Commission Agency: sales agents, brokers, auctioneers or other wholesalers selling other’s goods and providing relevant auxiliary services based on the contract for gaining commission fee; • لجنة الوكالات : وكلاء البيع ، والسماسره وتجار الجمله او غيرها من المزادات الأخرى بيع السلع وتقديم الخدمات الاضافيه ذات الصلة واستنادا الى لجنة العقود للحصول على الرسم ؛

• Franchising: Authorizing others to use one’s own trademark, trade name business model, etc. by signing a contract de name, or business method, in exchange for remuneration or franchising fees. • الامتياز : الاذن غيرها الى استخدام العلامه التجارية نفسها واحدة ، والاسم التجاري ونموذج الاعمال التجارية ، وما الى جانب توقيع العقد دي اسم ، او طرق العمل التجاري ، في مقابل اجر او رسوم الامتياز.

Registration التسجيل

Reservation and application of Name حجز اسم وتطبيق
Prior to any of the following applications, the investor(s) should reserve a name for its prospective FICE with Shanghai Administration of Industry and Commerce (SAIC). قبل أي من التطبيقات التالية ، المستثمر (ق) وينبغي ان حجز الاسم لfice المرتقب مع الادارة شنغهاي للصناعة والتجارة (المتطوره). SAIC requires that a proposed name and three other names be provided. المتطوره يتطلب ان الاسم المقترح وثلاثة اسماء اخرى تقدم.

Choosing a business name اختيار اسم الشركة
The Chinese name should be formatted as follows: الاسم الصينى ينبغى أن تكون على النحو التالي :
• First word - company name; • اول كلمة -- اسم الشركة ؛
• Second word – activity; • ثانيا كلمة -- النشاط ؛

If engaged in retail business, using Chinese words “商贸” ( read as “shang mao”, mean “business and trade” ); اذا كانت تشارك في اعمال التجزءه ، والصينية باستخدام عبارة "商贸" (اقرأ "shang ماو" ، يعني "الاعمال التجارية والتجارة") ؛
If engaged in wholesale business, using Chinese words “贸易” ( read as “mao yi”, mean “trade” ) اذا كانت تشارك في الاعمال التجارية بالجمله ، والصينية باستخدام عبارة "贸易" (اقرأ "ماو يي" ، يعني "التجارة")

• Third word - Shanghai; • ثالثا كلمة -- شنغهاي ؛
• Fourth word - company structure • رابعا كلمة -- هيكل الشركة
The use of ‘China’ ‘Sino’ and ‘International’ are not permitted in the Chinese name unless very special permission is given, although they are permitted in the non-Chinese name. استخدام 'الصين' 'الصينية' و 'الدولي' لا يسمح في الصينية اسم على اذن خاص جدا ما لم يرد ، على الرغم من انها غير مسموح بها في الاسم - الصينية.

Registration of Approval Certificate تسجيل شهادة اعتماد
After the completion of Name Approval Notification, Approval letter and Approval Certificate are the next to be registered. بعد الانتهاء من اسم اشعار الموافقة ، والموافقة على رسالة وشهادة اعتماد المقبلة هي ان تكون مسجلة.

(1) For FICE intending to conduct retail business, the approval from “Shanghai Economic Committee” is required. (1) لfice في سبيلها الى عقد تجارة التجزءه ، بموافقة من "اللجنة الاقتصادية شنغهاي" هو مطلوب. The Articles of Association, Feasibility Study Report, Lease Agreement of the proposed store, etc. should be submitted at the time of application. مواد تكوين الجمعيات ، وتقرير دراسة الجدوى ، الذي عقد الايجار المقترح للتخزين ، وما ينبغي ان تقدم في وقت تقديم الطلب. Without retail business, registration procedure starts from item (2). دون اعمال التجزءه ، واجراءات التسجيل يبدأ من البند (2).

(2) With similar documents, apply for Approval Letter and Approval Certificate from Shanghai Foreign Economic Relation and Trade Commission. (2) مع وثائق مماثلة ، يتقدم بطلب للموافقة على رسالة وشهادة اعتماد من شنغهاي الاقتصادية الخارجية والتجارة فيما يتعلق اللجنة. The municipal Approval Authority will review all documentation and give instructions in accordance with the Company Law and administrative regulations. البلدية سلطة الموافقة وسوف يستعرض جميع الوثائق واعطاء التعليمات وفقا لقانون الشركات والانظمه الاداريه.

(3) If all is up to standard, the authority is able to give its approval and issue the certificate within 10 to 15 working days upon receiving all the required documentation. (3) اذا كان هو كل ما يصل الى المعيار ، ان السلطة قادرة على اعطاء موافقة عليها واصدار الشهاده في غضون 10 الى 15 يوم عمل عند استلام جميع الوثائق المطلوبة.

Registration of Business License تسجيل الرخصه التجارية
Within 30 days after obtaining the approval certificate, the foreign investor will need to register and apply for a business license for the FICE from the municipal SAIC. في غضون 30 يوما بعد الحصول على شهادة اعتماد ، المستثمر الاجنبي سوف تحتاج لتسجيل وتقديم طلب للحصول على رخصة تجارية لfice من البلدية المتطوره. As part of this step, the foreign investor should submit similar documentation to the authority for approval and filing. وكجزء من هذه الخطوة ، ينبغي ان المستثمر الاجنبي ان يقدم وثائق مماثلة الى السلطة للموافقة والايداع.

Once the business license is issued, the FICE is deemed to be a legal person duly organized and existing under PRC laws and will have full operational rights to operate a business in China within the scope of its Business License. وبمجرد اصدار رخصة تجارية ، fice يعتبر ان الشخص الاعتباري على النحو الواجب المنظمه وجمهورية الصين الشعبية في اطار القوانين القائمة وسيكون لهم الحق الكامل في الحقوق التنفيذية لتشغيل شركة في الصين التي تدخل في نطاق اعماله الرخصه.

Registration of Organization Code Registration Certificate قانون تسجيل المنظمه شهادة تسجيل
This is purely a procedural step. وهذا هو مجرد خطوة اجراءيه. Organization Code Bureau will issue certificates within 1-3 working days. قانون تنظيم سيصدر مكتب شهادات في غضون 1-3 ايام عمل.

Registration of Tax Registration Certificate تسجيل ضريبة شهادة تسجيل
Once your Organization Code registration Certificate is approved then you may proceed with applications to the local tax authority. مرة واحدة منظمتكم قانون الموافقة على شهادة التسجيل ثم يمكنك المضي قدما في الطلبات المقدمة الى مصلحة الضرائب المحلية. At the same time, you should also apply for the company seal and legal representative seal. وفي الوقت نفسه ، يجب ان تنطبق ايضا للشركة ختم وختم ممثل قانوني. Together with Approval Certificate, Business License and other documents, the formal application form affixed with seals should be submitted to the authority for their examination and approval. الى جانب الموافقة على شهادة الرخصه التجارية وغيرها من الوثائق ، واستماره الطلب الرسمي الملصقه مع الاختام وينبغي ان تقدم الى الهيءه لدراستها والموافقة عليها.

Other Certificates شهادات أخرى
• Statistics Registration Certificate issued by Statistics Bureau; • شهادة تسجيل الاحصاءات الصادرة عن مكتب الاحصاءات ؛
• Foreign Exchange Registration Certificate issued by Foreign Exchange Supervision Bureau; • النقد الاجنبى من شهادة تسجيل صادرة عن مكتب الاشراف على صرف العملات الأجنبية ؛
•Finance Registration Certificate issued by Finance Bureau; • التمويل من شهادة تسجيل صادرة عن مكتب الشؤون المالية ؛
•Customs Registration Certificate issued by Customs Bureau • الجمارك من شهادة تسجيل صادرة عن مكتب الجمارك

Others آخرون
Having obtained approval from the tax and foreign exchange authorities, you are legally entitled to open USD Capital and RMB Basic Accounts. وبعد الحصول على موافقة من النقد الاجنبى والضرائب والسلطات ، وانت من الناحية القانونية يحق دولارا من دولارات الولايات المتحدة لفتح فرع رأس المال والحسابات الاساسية. Then you may proceed with capital injection, capital verification and certificates renewal. ثم يمكنك المضي قدما في حقن رأس المال ورأس المال والتحقق من شهادات والتجديد.

For establishing a store لإنشاء متجر

Already existent foreign invested commercial enterprises applying to establish a store shall meet the following conditions: بالفعل وجود المؤسسات التجارية الاجنبية المستثمره تطبيق لانشاء متجر يستوفي الشروط التالية :

1. Meet relevant regulations on urban development and urban commercial development. تلبية اللوائح ذات الصلة بشأن التنمية الحضريه والتنمية التجارية في المناطق الحضريه.

2. Participate on time in and pass the joint annual review on foreign invested enterprises; على المشاركة في الوقت وتمرير الاستعراض السنوي المشترك على الشركات الاجنبية المستثمره ؛

3. The registered capital of the enterprise has been paid up. رأس المال المسجل للشركة وقد تم المدفوع.

The whole procedure of establishing a store is the same with an enterprise set-up. الاجراء بأكمله انشاء مخزن هو نفسه مع مؤسسة الاعداد. The existent FICE is required to obtain a series of certificates for the proposed store. القائمة fice المطلوب للحصول على مجموعة من الشهادات المقترحة للتخزين. While in the process of application, the following submissions shall be made: في حين انه في عملية التطبيق ، وترفق التالية :

• an written application letter; • ورسالة طلب خطي ؛
• the modified Articles of Association; • المواد المعدلة للرابطة ؛
• the Feasibility Study Report pertaining to opening of the store; • تقرير دراسة الجدوى المتعلقة افتتاح المتجر ؛
• the Board’s Resolutions on opening of the store; • قرارات المجلس على افتتاح المتجر ؛
• the Lease Agreement of the store and copy of the Real Estate Certificate (landlord); • عقد الايجار للتخزين ونسخة من شهادة العقار (المالك) ؛
• the Capital Verification Report of FICE; • رأس المال التحقق تقرير fice ؛
• copy of Auditing Report of FICE for the most recent year; • نسخة من تقرير مراجعة الحسابات fice عن آخر سنة ؛

Time and governmental charges الوقت الحكوميه ورسوم

The whole process time shall be within 60 working days if all supporting documents and additional information are provided. العملية كلها مرة يكون في غضون 60 أيام عمل اذا كانت جميع الوثائق الداعمة والمعلومات الاضافيه المقدمة.

The total government charges for establishment of an FICE are estimated to be between USD 1,500 and USD 2,000. الرسوم الاجماليه للحكومة لانشاء هيئة fice تشير التقديرات الى ان نحو 1500 دولارا من دولارات الولايات المتحدة وبين دولارا من دولارات الولايات المتحدة عام 2000.
The total government charges concurrently for establishment of an FICE and a store are estimated to be between USD 2,500 and USD 3,000. مجموع رسوم بالتزامن الحكومة لانشاء هيئة fice ومخزن وتشير التقديرات الى ان نحو دولارا من دولارات الولايات المتحدة بين 2500 و 3000 دولار امريكى.
